Obtain Your California State Contractors License with an LLC

The state of California recently passed new legislation making it possible for Limited Liability Companies (LLCs) to be licensed contractors in California. This is big news, as it makes it possible for more companies to do business in California as LLCs. However, there are a few requirements that your company needs to keep in mind to avoid delays and errors in getting your LLC approved for a California contractor license:

Know your LLC registration number: If you have incorporated your contracting business, make sure to include the LLC registration number on your application to the California Contractors State License Board (CSLB). According to a recent news release from the CSLB, many contractor LLCs have been rejected for a contractor license because they did not include an LLC registration number on their applications. How does the Euro Crisis affect your small business?

The Euro Crisis has been going on for over a year, and it’s one of those terribly complicated, possibly catastrophic, but not-very-exciting stories that often cause stock markets to plunge.

I’m not an economist, but basically, here’s how it works: Europe used to have lots of different currencies – the German Mark, the French Franc, the Spanish Peso, the Italian Lira, etc. Starting in January 1999, the European Union introduced the “Euro” as the EU’s single shared currency, with the idea that a shared currency would improve trade and develop deeper economic ties and efficiencies between European countries. And yet today, 13 years later, the Euro is threatened with collapse.

A few countries like Greece, Portugal, Italy and Ireland are facing a national debt crisis that they cannot afford to pay off by themselves, so they are turning to the other, wealthier, nations of the EU for bailouts. But these other countries (mainly Germany, which has Europe’s largest economy) are reluctant to foot the bill for what they feel are the excesses and poor decisions of the debtor countries. Incorporating in Nevada? State Business License Required!

Nevada State Business License now required for most Nevada Business Entities

Effective October 1, 2009, and still in Effect, filing and payment of the State Business License will be processed by the Secretary of State’s office. Pursuant to AB 146 passed by the 2009 Nevada Legislature, the authority for the State Business License was transferred from the Department of Taxation to the Secretary of State.

For entities that are required to file an initial or annual list of officers with the Secretary of State, you will be required to file for the State Business License at the time your list is due.

All other businesses such as sole proprietors or general partnerships doing business in Nevada will file a new application or renewal of their existing State Business License after October 1. The Department of Taxation will handle any new license application or renewals of the State Business License through September 30, 2009.

Information and Forms for State Business License

Non-Title 7 entities (NT7) – A non-Title 7 (NT7) business is a sole proprietorship or partnership doing business in Nevada that is not required to file its organizational documents with the Office of the Secretary of State. NT7 businesses doing business in the state of Nevada are required to maintain a state business license.

Title 7 entities – A Title 7 entity is an entity organized pursuant to the laws of Nevada that files its formation documents with the Office of the Secretary of State. Title 7 entities are required to file an Annual List of Officers or its equivalent, and include domestic and foreign qualified corporations, limited liability companies, limited partnerships, limited liability partnerships, limited liability limited partnerships and business trusts.

Starting a business? Don’t get hit by late fees and penalties…

In several states…..when you start a business for the first time, setting up an LLC, C-Corporation or S-Corporation is not the end of the process. In California, for example, all newly formed corporations and LLCs are required to file an additional document, which is called an Initial Statement of Information. This initial statement is required to be filed within 90 days of the date that the corporation was formed. If not, the state of California might charge the corporation up to $250 in late fees.

The last thing new businesses need is an unexpected $250 fee from the state. Unfortunately, the state of California is making it just a bit more difficult for business owners to avoid incurring these late fees. Until recently, the State of California sent every newly formed corporation a convenient blank Statement of Information form, along with the due date to file it in order to avoid late fees.

But now, as of September 26, 2011, the state of California will no longer provide this courtesy documentation and reminder. This means it is now the sole responsibility of business owners to make sure their companies are in compliance in filing their Initial Statement of Information in time to avoid paying the penalty.
