S Corporation: A corporation where owners are taxed like individuals (NO DOUBLE TAXATION). If owners don't meet S-Corporation restrictions they usually form an LLC as the best option.
C Corporation: This is a General For Profit corporation. This entity is usually best-suited for larger businesses or businesses seeking venture capital or equity funding.

A registered agent is a person or company officially recognized by the state that resides within the state of incorporation and is designated by the corporation to accept service of process on behalf of the corporation. This may be an individual or another business entity that has a physical location in the state of incorporation. Please note that a Post Office Box or other “mail service” is usually not sufficient to qualify as a registered agent.
The registered agent is responsible for accepting official notices from the Secretary of State and service of process in the event the corporation is sued.

The incorporator resolution is a corporate document which is executed by the incorporator upon the formation of the company appointing the initial directors of the company. The incorporator resolution is included as part of each CorpNet formation package and is forwarded to you as part of your final packet of formation documents
Businesses are required to obtain a Federal Tax ID Number, also called an Employer Identification Number (EIN) which is used to identify the business entity. With CorpNet’s Tax ID Obtainment service, we will obtain your company's Tax ID (EIN) from the IRS once your business formation is approved by the state office. The typical turn-around time for this service is 24-48 hours upon receipt of your filed business formation documents from the state office.
CorpNet's Tax ID obtainment service can be added as an upgrade to any CorpNet Basic package; however, you can take advantage of this upgrade FREE of charge when selecting the CorpNet Deluxe or Complete package. In order for CorpNet to obtain the TAX ID number for your business, upon order confirmation and receipt of payment, you will be asked to provide your Social Security Number (SSN) or Individual Tax Identification Number (ITIN) by a CorpNet Business Specialist. If you do not have an SSN or cannot provide your SSN to CorpNet, then CorpNet will not be able to obtain your Tax ID Number on your behalf, but as a courtesy, will prepare and forward the completed IRS TAX ID Application (FORM SS-4) to you as part of your final packet of documents.
An Operating Agreement is the document that states the rights and obligations of the members as well as the distribution of income of the Limited Liability Company (LLC). An operating agreement is not required as a prerequisite in forming the Limited Liability Company, but it is required to be kept at your place of business for maintaining compliance with the company’s corporate formalities. All members must sign the operating agreement in order for the operating agreement to be effective and valid. A corporation can avoid double taxation (once to the shareholders and again to the corporation) by electing to be treated as an S corporation. Generally, an S corporation is exempt from federal income tax other than tax on certain capital gains and passive income. On the tax returns, the S corporation's shareholders include their share of the corporation's separately stated items of income, deduction, loss, and credit, and their share of non-separately stated income or loss
S-Corporation status election is granted by the IRS after (IRS Form-2553) is prepared and filed with the IRS in a timely fashion and then approval has been granted by the IRS. The election process takes approximately three months, according to the IRS instructions.

What is a Certificate of Authority?
A Certificate of Authority is required to make sales of tangible personal property and enumerated taxable services. It authorizes you to collect state and local sales tax in NYS; it also authorizes you to issue and receive NYS sales tax exemption documents. The Certificate of Authority will include the address of the physical location of the business and must be displayed in plain view at that location. If you have more than one location, a certificate must be displayed at each location with the appropriate address corresponding to that location. If you have no regular place of business, you must attach the certificate to your cart, stand, truck, etc.
Who is required to register?
You must register for sales tax purposes with the Tax Department and have a valid Certificate of Authority to sell tangible personal property or certain taxable services, operate a hotel or motel, or receive amusement charges in NYS. You must also register for sales tax purposes to issue or accept most NYS sales tax exemption documents or if you are acquiring all or part of the assets of an existing business that is registered or required to register for sales tax purposes. If you are an out-of-state lessor of tangible personal property and your lessee lives in NYS or moves to NYS and brings the leased property into NYS for personal use or for use in any employment, trade, business, or profession, you must register for sales tax purposes within 30 days after your property comes into NYS.
The Master Business Application is a simplified form used to apply for many state licenses, registrations, and permits. It’s also used to apply for some city licenses

You must file a Master Business Application when you first start your business, or when you change or update your business. You’ll need to file if you want to:

If your business is a corporation, a limited liability company, a limited liability partnership, or requires a specialty license available through the Master License Service, you will need to renew your license annually. The expiration date is determined when you apply, and will be printed on the top right hand side of your Registration and Licenses Document under the Unified Business Identifier (UBI) number.
