1. Scope and Agreement

These Supplemental Terms for Subscriptions (“Subscription Terms,” “Terms”) apply to CorpNet, Incorporated (“CorpNet,” “we,” “us”) subscription services that renew automatically (the “Subscriptions”). They supplement, and are incorporated into, the CorpNet Terms and Conditions and Privacy Policy.

BY PURCHASING OR ENROLLING IN A SUBSCRIPTION, YOU ACKNOWLEDGE AND AGREE TO THESE SUBSCRIPTION TERMS, WHICH CONTAIN LIABILITY LIMITATIONS, ARBITRATION PROVISION, INDEMNIFICATION PROVISION, AND A CLASS ACTION WAIVER. THESE PROVISIONS AFFECT YOUR LEGAL RIGHTS AND CONTROL HOW DISPUTES ARE RESOLVED.

2. Automatic Renewal Offer Terms

Your Subscription automatically renews at the end of each billing period unless you cancel before the renewal date (each, a “Renewal Term” and a “Renewal Date”). The applicable billing period (for example, annual) and the recurring charge, including applicable taxes and fees, are disclosed at checkout and in your confirmation email. You authorize CorpNet to charge your selected payment method at the start of each renewal period for the then‑current recurring charge unless you cancel at least 24 hours before the start of the next billing cycle. Unless otherwise stated at checkout, Subscriptions are ongoing with no minimum commitment beyond the current paid term. You may cancel at any time as described in Section 6.

3. Trial and Pre‑Renewal Notices

If you receive a free or discounted trial lasting more than 31 days, we will send a reminder notice before the trial ends explaining the upcoming charge, the amount to be charged, the renewal cadence, and how to cancel. For Subscriptions with a term of one year or more, we will send a renewal reminder before the Renewal Date that explains the upcoming charge, the amount to be charged, the renewal cadence, and how to cancel.

For a trial or other promotional membership with no initial charge, you agree we may authorize a charge of up to one dollar ($1) to your method of payment to verify your payment source. At the completion of a trial membership, unless you choose to cancel by calling (888) 449-2638 or through your CorpNet account portal (by navigating to your CorpNet Account > Account Settings > Subscription Manager > Cancel Subscription), your Subscription will renew automatically, and your credit card will be charged to begin your initial Subscription term.

4. Price Changes

We may change the recurring price for a Subscription. If we do, we will provide advance notice to the email on file before the change takes place. If you do not agree to the new price, you may cancel before your Renewal Date to avoid future charges.

If you do not cancel your Subscription, you will be deemed to have accepted the new price for the Renewal Rerm and subsequent Renewal Terms (unless or until the price increases in the same manner for a subsequent Renewal Term).

5. Payment Authorization; Declines; Account Information

By choosing a Subscription, you agree that CorpNet may store one or more payment methods for your account, and you are authorizing CorpNet to charge these payment methods as explained in these Terms. We may obtain automatic updates for any expiring credit cards you have provided.

You authorize recurring charges to your payment method at the start of each Renewal Term until you cancel. If a charge is declined, we may attempt to process the charge up to five times over seven days. We will not impose additional fees for declines, but we may place your Subscription on hold until you update your payment method. You can update your payment method by logging into your account. If we cannot process your payment, your Subscription may be suspended or terminated as outlined in Section 9. Charges may include applicable taxes and government fees.

Your Subscription begins as soon as your initial payment is processed. The date that your initial payment is processed will be considered your “Billing Date” and will be used to determine when your future payments are due.

Unless you cancel your Subscription, you will be automatically charged for the cost of your Subscription on your Billing Date. Your Billing Data is typically the first day following the last day of your subscription term.

We may adjust your Billing Date and are not required to tell you in advance if we make an adjustment. If we adjust your Billing Date, this will be reflected by a charge to your account on a prorated basis according to the number of days that have passed since the date of your latest Renewal Term.

Even if you do not use our products or services, you are responsible for paying the full cost of your Subscription until you cancel your Subscription or until it is otherwise terminated.

6. Subscription Cancellation

If you enrolled online, you can cancel online at any time by logging into your CorpNet account and navigating to your CorpNet Account > Account Settings > Subscription Manager > Cancel Subscription. You may also cancel by emailing support@corpnet.com or calling (888) 449‑2638.

Cancellation is effective immediately for future renewals, but you must cancel at least 24 hours before your Billing Date to avoid being charged for the next billing cycle. You will continue to have access through the end of your current paid term unless you request immediate termination and we confirm it. Fees already paid are nonrefundable unless required by law or explicitly stated at checkout; where a refund is required, it will be provided consistent with applicable law.

7. Acknowledgment; Retainable Confirmation

After enrollment, we will send an acknowledgment email that includes the Subscription offer terms, the recurring amount and cadence, and how to cancel, in a form you can retain.

8. Limitations; Acceptable Use; Service Availability

Subscriptions are for your personal or internal business use and may not be resold or transferred. Services may be provided by CorpNet and/or approved service providers. Availability may vary and may be affected by events beyond our control.

a. Responsibility for Misuse

You may not: (i) license, sublicense, sell, resell, transfer, assign, distribute, or otherwise make available to any party the benefits granted to you by or any content in your Subscription; or (ii) change, reproduce, reverse engineer, make derivative works based on or referring to, or in any way exploit the licenses you have been granted with your Subscription, or content or source code in your Subscription.

You are responsible for all expenses incurred or other actions that may occur through your use of a Subscription. You must alert us immediately of any fraudulent, unauthorized, illegal, or suspicious use of a Subscription or Subscription benefits, or any other breach of security or unauthorized or illegal activity that you reasonably suspect.

b. Authority to Enter Agreement

If you are entering into these Subscription Terms on behalf of a company or other legal entity, you represent that you have the legal authority to bind that entity to these Terms and understand that the terms “you” or “your” refer to that entity. If you do not have that authority or if you do not agree with these Subscription Terms, you may not sign up for or use any Subscription. If after your purchase we find that you do not have authority to bind the entity for which you ordered, you will be personally responsible for the obligations in these Subscription Terms and the order you placed, including all payment obligations. CorpNet is not liable for any loss or damage resulting from our reliance on any communication reasonably believed by us to be genuine and originating from an authorized representative of your company. If there is reasonable doubt about the authenticity of any communication, we may, but are not obliged to, require additional authentication from your company.

9. Changes; Termination by CorpNet

We may modify or discontinue a Subscription offering with notice to the extent required by law. We may suspend or terminate a Subscription for nonpayment, abuse, unlawful use, or violation of these Subscription Terms.

a. General Changes

CorpNet may discontinue the offering of a Subscription, including the functionality, content, or availability of any features of Subscriptions, at any time in its sole discretion. We may also impose limits on features and services or restrict your access to all or part of the Subscription. However, you have the right to cancel your membership should we materially decrease benefits.

If we add new features to a Subscription, the new features will be subject to these Subscription Terms.

If you add a product or service to your Subscription, CorpNet has the discretion to charge you a prorated portion of the costs to align your Billing Date with your current Subscription. CorpNet will provide you with notice before doing so.

b. Discontinuation and Replacement of Subscriptions

Should CorpNet cease offering your Subscription, we can discontinue your Subscription, continue to provide it to you, or provide a replacement (similar or comparable product) at the then-current price. Additional fees may be charged for such replacement Subscription. CorpNet will notify you of new fees before they become effective and you will have an opportunity to cancel.

c. Termination by CorpNet

CorpNet may terminate your use of all or part of the Subscriptions in its sole discretion. As your sole remedy, we may refund to you any prepaid fees specifically related to the current term of that Subscription.

If you have not made any payment on your Subscription within 15 days after your Billing Date, CorpNet may suspend your services and terminate that Subscription. If we do not suspend your services or terminate your Subscription immediately, we reserve our right to do so in the future.

Your right to use a Subscription is subject to any limits established by CorpNet or by your credit card issuer. If payment cannot be charged to your credit card or your charge is returned for any reason, including through a chargeback, CorpNet may, in its sole and absolute discretion, suspend or terminate your subscription, access, and account, which will terminate these Subscription Terms and our obligations under them. For the avoidance of doubt, you agree that CorpNet can charge any credit card you have on file with us to pay any outstanding Subscription fees.

d. Reactivation After Termination

If you wish to reactivate your account after termination, there will be no setup or reactivation fees. However, if your account was terminated for nonpayment, it will be reactivated only after CorpNet receives the full amount past due. If an expired account is reactivated, the new term begins on the reactivation date.

e. Services After Termination

After your Subscription is terminated or your Term has ended, you will not be able to access the corresponding Subscription offerings.

10. Dispute Resolution; Governing Law; Arbitration; Class Action Waiver

These Subscription Terms are governed by the laws of the State of California, without regard to conflict‑of‑law rules, and by applicable federal law. Before filing any claim, the parties will confer in good faith to resolve the issue. Except for claims that may be brought in small claims court, any dispute arising out of or relating to these Subscription Terms will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in the California county of your residence or another mutually agreed location. To the fullest extent permitted by law, you and CorpNet agree to waive any right to a jury trial and to participate in a class action or class‑wide arbitration; if the class waiver is found unenforceable, the arbitration agreement is severed and any class claims must proceed in court. You may opt out of arbitration by sending written notice within 30 days of first accepting these Subscription Terms to: CorpNet, Inc., Attn: Legal, 31416 Agoura Rd, Ste 118, Westlake Village, CA 91361.

11. No Guarantee; Limitation of Liability; No Warranties

LAWS, REGULATIONS, AND ADMINISTRATIVE REQUIREMENTS CHANGE OFTEN, AND THEIR APPLICATION AND IMPACT VARY FROM COMPANY TO COMPANY AND INDUSTRY TO INDUSTRY. FORMS, EMAILS AND SMS TEXT MESSAGE COMMUNICATIONS ARE NOT INTENDED TO PROVIDE OR SUBSTITUTE FOR ACCOUNTING, LEGAL, BUSINESS, TAX, OR OTHER PROFESSIONAL ADVICE OR SERVICES. THEY ARE OFFERED FOR INFORMATION PURPOSES ONLY. COMPLIANCE WITH ALL LAWS AND REGULATIONS REMAINS YOUR SOLE AND ABSOLUTE RESPONSIBILITY. BEFORE TAKING ANY BUSINESS OR LEGAL ACTION BASED ON INFORMATION FROM THE SITE OR ANY EMAIL OR SMS TEXT MESSAGE COMMUNICATION, YOU SHOULD CONSULT WITH A FINANCIAL OR LEGAL PROFESSIONAL TO VERIFY DEADLINES AND DETERMINE WHETHER SUCH ACTIONS ARE APPROPRIATE FOR YOU BASED ON YOUR PERSONAL OR BUSINESS NEEDS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORPNET’S TOTAL LIABILITY ARISING FROM OR RELATED TO A SUBSCRIPTION WILL NOT EXCEED THE AMOUNTS YOU PAID TO CORPNET FOR THE SUBSCRIPTION IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. CORPNET’S SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” CORPNET DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT, EXCEPT TO THE EXTENT SUCH DISCLAIMERS ARE PROHIBITED BY LAW. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IF APPLICABLE LAW PROHIBITS A LIMITATION, IT APPLIES ONLY TO THE MAXIMUM EXTENT PERMITTED.

12. Indemnification

You agree to indemnify, defend, and hold harmless CorpNet, its shareholders, subsidiaries, affiliates, directors, officers, independent contractors, agents and employees, from any claim or demand, including reasonable attorneys’ fees and costs, made by any third party arising from or related to: (a) your use of the Services, the Site, or the CorpNet Apps, or any of the information contained therein; (b) a violation of these Terms and Conditions; or (c) infringement or misappropriation of any intellectual property or any other right of any person or entity by you, or other user of the Site, the CorpNet Apps, or the Services using your computer or account. If we are threatened by a third party, we may seek written assurances from you concerning your promise to indemnify us. Your failure to provide these assurances may be considered by us to be a breach of these Subscription Terms and our Terms and Conditions, without otherwise limiting our rights in any respect. This indemnification obligation will survive termination or expiration of these Terms and Conditions and your use of the Services.

13. Notices and Contact

14. Miscellaneous

These Subscription Terms, together with the CorpNet Terms and Conditions and Privacy Policy, are the entire agreement concerning Subscriptions. If any provision is invalid or unenforceable, the remaining provisions remain in effect. You may not assign your Subscription without our consent. We may assign or delegate our rights or obligations to affiliates or service providers. Sections that by their nature should survive termination—including payment obligations accrued before cancellation, limitation of liability, and dispute resolution—survive.

15. Responsibility to Provide Accurate and Timely Information

CorpNet will use the most current information on file within the client’s company profile in the CorpNet Compliance Center as the basis for preparing and submitting annual reports and annual meeting minutes. It is the responsibility of the client to ensure that all company information maintained with CorpNet is accurate and up to date at all times.

If CorpNet prepares and files an annual report or populates annual meeting minutes using the information currently on file, and the client subsequently requests changes or updates, the client will be responsible for any applicable amendment or update fees.

In cases where required information is missing, CorpNet will utilize its standard request for information practices, including sending automated email reminders to collect the necessary data. Failure by the client to provide requested information promptly may result in missed filing deadlines. Client acknowledges and agrees that CorpNet is not responsible for any missed filing deadlines, penalties, or adverse consequences resulting from Client’s failure to provide timely, accurate, or sufficient information.
